OFFICAL NOTICE OF A SPECIAL GENERAL MEETING

There will be a SGM being held at Amersham Police Station, Meeting Room, New Building 1st Floor. 1500hrs on the 22nd June This meeting is being called to discuss and vote on the formation of a Community Interest Company to deal with the clubs trading income. More details are below:

PROPOSED CLUB CHANGES


As a club we want to make sure we do things right and this means we will need to change slightly how we operate.

We will this year becoming liable to pay VAT, in order to fulfil the HMRC requirements this will require registration as a business. In addition to this we also have to complete registration is a food provider in line with the most recent guidance and comply with food standard agencies rules. Now we have been in long discussions for quite a while about, what this would look like and how it would work and having taken advise propose to form a Community Interest Company (CIC), which is a not for profit provision. This is something that we have sought the advice of the TVP Code of Ethics panel and will additionally require approval via PSD prior to establishment. If we fail to compete this transition, we will have no other choice but to withdraw the provision of Tuck Shops. Failing to comply with HMRC or Food Standard Agency requirements is not an option. The reason we are telling you as a member, is it's important you have a voice and an opportunity to ask a question or raise some comments or concerns. What will happen?

We propose to form a (CIC), which will take over all of the ‘trading’ elements of the club. This means when you shop in the tuck shop, you will essentially be shopping with the new company. If you purchase items from the website, again it will be from the new company. What happens with the money?

Basically not much different than now. The CIC is a not for profit business, meaning any surplus money at the end of the year, will get put back into supporting the mission of the company. Which is essentially to support you on the front line. Will I still get a discount in the tuck shop? Yes, there should be very little difference in your day to day interactions with the tuck shop or the club. The same people doing it now, will continue to do it with the business. Why the change now? We will reach the VAT threshold later this year, that requires us to register with the HMRC. We are unable to do that as an unincorporated association (which is what the club is at the moment) and we are required to become a legal business. A CIC is the best of both as it means aren’t allowed to make a profit and all the money is used to run the business / put back into funding what it was set up to support (the front line). What will happen next? The Club committee will hold a Special General meeting at 15.00 hours on the 22nd of June at Amersham Police Station, to formally consider the CIC proposal. As members of the Club, you will have the opportunity to provide feedback / comment for consideration at the SGM in relation to the proposal. You can additionally, attend in person or via a Teams Link. Please note, all members are entitled to provide their views. The elected committee will have to discretion to consider all nonreplies as a vote of support for the proposal.
